Derisqo provides an AI-powered platform for:

• Meeting transcription and intelligent summarization using AI technology
• Document and contract analysis powered by artificial intelligence
• Risk detection and compliance checking
• Action item extraction and tracking from meetings and documents
• AI-generated summaries, insights, and recommendations
• Interactive AI chat for follow-up questions on analyzed content
• Linking related meetings and documents for unified context

The Service uses third-party AI providers (including OpenAI) to process your content. By using the Service, you acknowledge and consent to this processing as described in our Privacy Policy.

3. User Accounts and Responsibilities

3.1 Account Security

You are responsible for maintaining the confidentiality and security of your account credentials. You must:

• Use a strong, unique password
• Not share your account with others
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

3.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update it as necessary to maintain its accuracy.

4. Subscription, Payments, and Credits

4.1 Subscription Plans

Paid features require a subscription or credit purchase. Subscriptions are billed in advance on a monthly basis. Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.2 Credit System

AI operations consume credits based on usage (e.g., per meeting minute, per document page, per AI chat conversation). Credits do not expire for active accounts but are non-refundable. Unused credits may be forfeited upon account termination.

4.3 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Access will continue until the end of your current billing period. We do not provide refunds for partial months or unused credits, except where required by law.

4.4 Price Changes

We reserve the right to change our prices with at least 30 days' notice. Continued use after the price change takes effect constitutes acceptance of the new pricing.

4.5 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your payment method.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights (including intellectual property, privacy, or defamation)
• Upload content containing malware, viruses, or other harmful code
• Engage in any activity that could harm, disable, overburden, or impair the Service
• Attempt to gain unauthorized access to the Service, user accounts, or computer systems

• Upload content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable

We reserve the right to suspend or terminate your account for violations of this Acceptable Use Policy without refund.

6.3 AI-Generated Outputs

You retain ownership of AI-generated outputs (summaries, analyses, insights) derived from your User Content. However, these outputs are provided solely for your use and may not always be accurate or reliable.

7. AI Disclaimer and Limitation of Liability

ALL AI-GENERATED OUTPUTS, ANALYSES, SUMMARIES, AND RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE PROFESSIONAL ADVICE.

The Service does not provide legal, financial, medical, tax, or any other professional advice. AI outputs should not be relied upon as a substitute for consultation with qualified professionals. You are solely responsible for decisions made based on AI-generated content.

7.2 Accuracy and Reliability

AI technology can make mistakes, produce inaccurate information, or misinterpret content. We do not warrant that:

• AI outputs will be accurate, complete, or error-free
• Transcriptions will be 100% accurate
• Risk assessments or compliance checks will identify all issues
• The Service will meet your specific requirements or expectations

7.3 User Responsibility

You acknowledge and agree that:

• You must independently verify all AI-generated outputs before relying on them
• You are solely responsible for decisions made based on the Service
• Derisqo is not liable for any consequences resulting from your use of AI outputs

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Derisqo AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from your reliance on AI-generated outputs
• Errors, inaccuracies, or omissions in AI analysis or transcription
• Decisions made based on the Service

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the 12 months preceding the claim, or $100 USD, whichever is greater.

We are not liable for any consequences resulting from service interruptions or modifications.

10. Termination

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Romania and applicable European Union regulations, without regard to conflict of law principles.

12.2 Dispute Resolution

We encourage you to contact us first to resolve any disputes amicably. If you are a consumer in the European Union, you may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr. Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Cluj-Napoca, Romania.

13. Miscellaneous

13.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Derisqo regarding the Service.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

13.3 Assignment

You may not assign or transfer these Terms without our consent. We may assign these Terms to any successor or affiliate without restriction.

13.4 No Waiver
